Chapter I General第一章 总则
Article 1 Nature of GNSI
The Global Network for SMR Innovation (hereinafter referred to as “GNSI”) is a non-profit, unincorporated and open cooperation initiative. It is established by the China Atomic Energy Authority (CAEA) together with relevant nuclear energy enterprises, and jointly participated by government departments, regulatory bodies, enterprises, research institutes and higher education institutions from countries that are interested in developing small modular reactors.
Article 2 Objectives
The GNSI operates on the principles of extensive consultation, joint contribution and shared benefits. The GNSI is committed to innovation‑driven and safe development, as well as open, inclusive, and mutually beneficial cooperation. It will promote technological innovation, standards harmonization, capacity building, and the deployment and widespread use of small modular reactors (SMRs) to provide safer, more affordable and more accessible nuclear energy solutions. These solutions will help to address global climate change and support the sustainable development of all countries.
第一条 〔联盟性质〕
全球小堆创新合作联盟（The Global Network for SMR Innovation，以下简称“联盟”或“GNSI”），由中国国家原子能机构联合有关核能企业发起、有意发展小型模块堆国家的政府部门、监管机构、企业、科研院所以及高校共同参与的非营利性、非法人、开放性合作机制。
第二条 〔联盟宗旨〕
联盟秉持共商共建共享原则，坚持创新驱动、安全发展，开放合作、普惠包容理念，推动小型模块堆技术创新、标准协同、能力建设、推广应用，为应对全球气候变化、助力各国可持续发展提供更安全、更经济、更普惠的核能解决方案。
Chapter II Functions第二章 基本职责
Article 3 Technological Innovation
The GNSI conducts research and facilitates the exchange of experiences on the various applications of SMRs, including onshore and offshore power supply, district heating, industrial steam supply, desalination and high-temperature hydrogen production. The aim is to enhance the safety, economic viability and multi-purpose potential of SMRs.
Article 4 Standards Harmonization
The GNSI develops technical specifications, safety standards, and generic user requirements documents for the siting, design, construction and operation of SMRs. This will reduce unit cost and construction timelines, and support standardized design, modular construction, and the large-scale deployment of SMRs.
Article 5 Capacity Building
The GNSI promotes capacity building in policy-making, planning, regulatory framework and infrastructure development, and specialized personnel training for SMRs. This is achieved through scientific visits and exchanges, technical meetings and workshops, expert consultations, and personnel training programmes, with the aim of enhancing overall capacity and fostering an industrial ecosystem.
Article 6 Promotion and Application
The GNSI establishes a platform for matching supply and demand and facilitating technical cooperation. This addresses issues such as feasibility studies for SMR siting and planning, public outreach and communication, feedback on construction and operation experience, nuclear fuel supply assurance, workforce and supply chain localization, financing guarantee, and benefit and risk sharing mechanisms. The aim is to facilitate the deployment and widespread commercial use of SMRs.
第三条 〔技术创新〕
围绕小型模块堆陆上海上供电、区域供暖、工业供汽、海水淡化、高温制氢等多场景应用现实需求，开展课题研究和经验交流，提升小型模块堆安全性、经济性以及多用途可行性。
第四条 〔标准协同〕
围绕小型模块堆选址、设计、建造、运行等环节，研究制定技术规范与安全标准，提出通用用户要求文件，降低单堆成本和建造周期，支撑小型模块堆标准化设计、模块化建造、规模化发展。
第五条 〔能力建设〕
围绕小型模块堆政策规划制定、监管体系建设、基础设施开发、专业人才培养等能力建设需求，通过科访交流、技术研讨、专家咨询、人员培训等形式，促进综合能力提升和产业生态培育。
第六条 〔推广应用〕
围绕小型模块堆规划与选址可行性研究、科普宣传和公众沟通、建设及运行经验反馈、核燃料供应保障、劳动力和供应链本地化、融资担保政策工具、利益共享及风险分担机制等问题，搭建供需对接和技术合作平台，促进应用场景落地和商业化推广应用。
Chapter III Members第三章 联盟成员
Article 7 Membership
Any entity involved in the development and utilization of SMRs, including government departments and regulatory bodies responsible for the development and safety of nuclear energy, as well as enterprises, research institutes and higher education institutions, may apply for membership on a voluntary basis.
Article 8 Admission
Any entity wishing to join the GNSI shall submit an application to the Secretariat. Once approval by the Governing Board, the applicant shall become a member of the GNSI.
Article 9 Rights of Members
All GNSI members shall have the right to participate in various meetings and activities organized by the GNSI, access GNSI services, and utilize information and resources shared within the GNSI.
Article 10 Obligations of Members
All GNSI members shall abide by this ToR, participate in GNSI activities, and uphold the rights, interests and reputation of the GNSI. They shall also provide the GNSI with the necessary personnel, facilities or financial support on a voluntary basis.
Article 11 Withdrawal of Membership
Any GNSI member wishing to withdraw shall notify the Secretariat in writing. Any GNSI member committing a serious violation of this ToR shall be expelled following a vote of approval by the Governing Board.
Article 12 Observers
Any interested entities may apply to participate as observers in designated meetings or activities. However, they shall not be entitled to the shared intellectual property of the GNSI.
Article 13 Cooperating Organizations
Intergovernmental or non-governmental international organizations may participate in designated meetings or activities as cooperating organizations.
第七条 〔成员资格〕
负责核能发展与安全的政府部门、监管机构，以及从事小型模块堆开发利用的企业、科研院所和高校等实体，均可自愿申请加入联盟。
第八条 〔加入机制〕
有意加入联盟的实体可向秘书处提出申请，经理事会同意后成为联盟成员。
第九条 〔成员权利〕
联盟成员有权参加联盟组织的各类会议和活动，获取联盟提供的各项服务，利用联盟共享的信息及资源。
第十条 〔成员义务〕
联盟成员应自觉遵守联盟章程、参与联盟活动、维护联盟权益和声誉，并自愿为联盟提供必要的人员、设施或资金支持。
第十一条 〔退出机制〕
联盟成员如主动退出，应以书面形式告知秘书处。联盟成员如有严重违反本章程的行为，经理事会表决通过，予以除名。
第十二条 〔观察员〕
有意愿的实体可申请作为观察员参加指定会议或活动，但不参与知识产权共享。
第十三条 〔合作机构〕
政府间国际组织或非政府组织可作为合作机构，参与指定会议或活动。
Chapter IV Organizational Structure第四章 组织机构
Article 14 Board of Governing
The GNSI shall establish a Governing Board to act as its decision-making organ. The Board shall comprise one President and two Vice-Presidents. The President and the Vice-Presidents shall be nominated by member institutions and elected. The Board’s term of office shall be two years, and members may be re-elected for consecutive terms.
Article 15 Functions of the Board
The Board shall hold an annual meeting to deliberate on: (i) the ToR, rules and regulations, strategic plan, work plan, annual report and resource support of the GNSI; (ii) the election of the President and Vice-Presidents; (iii) the admission of members, observers and cooperating organizations; (iv) the establishment of specialized committees or working groups; and (V) the discussion and decision on other major matters.
Article 16 Secretariat
The GNSI shall establish a Secretariat as its permanent office. The Secretariat shall be headed by a Secretary‑General, who shall oversee the GNSI’s daily operations, resource coordination, event organization, outreach and communication, and execution of the Board decisions, and other related matters.
Article 17 Specialized Committees
The GNSI may establish specialized committees composed of renowned experts to provide advice on matters in specialized fields.
Article 18 Working Groups
The GNSI may establish working groups. These working groups shall be initiated by members of the GNSI on a voluntary basis to develop and implement cooperative projects. Each working group shall have one convener, who is responsible for coordinating its daily activities and reporting on progress to the Board.
第十四条 〔理事会组成〕
联盟设立理事会，作为联盟决策机构；理事会设1名理事长、2名副理事长，副理事长由理事单位推荐并选举产生；理事会任期2年，可连选连任。
第十五条 〔理事会职责〕
联盟每年召开一次理事会会议，审议联盟章程、规章制度、战略规划、工作计划、年度报告、资源保障等事项，选举产生理事长、副理事长，接纳成员、观察员、合作机构，设立专业委员会或专项工作组，以及讨论决定其他重大事项等。
第十六条 〔秘书处〕
联盟设立秘书处，作为联盟常设办事机构。设秘书长1名，负责联盟日常运转、资源协调、活动组织、宣传推广以及执行理事会决策等。
第十七条 〔专业委员会〕
联盟可设立专业委员会。专业委员会由知名专家组成，为专门领域事务提供咨询意见。
第十八条 〔专项工作组〕
联盟可设立专项工作组。专项工作组由联盟成员自愿发起，商定并实施合作项目。专项工作组设召集人1名，负责协调日常活动并向理事会报告工作进展。
Chapter V Activities第五章 联盟活动
Article 19 Platform for Exchange
The GNSI regularly organizes high-level meetings, committee meetings, and technical workshops to facilitate supply and demand matching, experience sharing, joint research, personnel training, and capacity building in the development and cooperation of SMRs.
Article 20 Cooperative Projects
The GNSI undertakes joint research initiatives in policy, science, technology and industrial development to address challenges in SMR deployment, including techno-economic viability, standard compatibility, industrial maturity and public acceptance.
Article 21 Shared Facilities and Resources
The GNSI facilitates access to, and the availability of, facilities and resources for research and development, testing and verification, engineering demonstration, and education and training in SMRs. It also provides members with services including technical visits and exchanges, consulting and evaluation, research and development, and personnel training.
Article 22 Personnel Training
In response to the need for international cooperation in SMR development, the GNSI develops professional curricula and organizes specialized training. It also provides opportunities for academic degree education in nuclear-related disciplines, covering technology selection, site planning, safety regulation, public communication, construction and operation.
Article 23 Other Services
The GNSI may, upon request by GNIS members, provide customized services as appropriate to their specific needs.
第十九条 〔搭建交流平台〕
定期组织召开高级别会议、专业委员会会议以及专题技术会议，促进小型模块堆发展合作供需对接、经验共享、技术共研、人才共育、能力共建。
第二十条 〔发起合作项目〕
联合开展政策、科技、产业方面等课题研究，解决小型模块堆应用部署面临的技术经济性、标准适配性、产业成熟度、公众接受度等挑战。
第二十一条 〔共享设施资源〕
扩大小型模块堆技术研发、测试验证、工程示范、教育培训等设施资源平台开放共享，为联盟成员提供科访交流、咨询评估、研究开发、人员培训等服务。
第二十二条 〔促进人才培养〕
根据小型模块堆发展合作需求，在技术选型、厂址规划、安全监管、公众沟通、建设运维等方面开发专业课程、组织专题培训，并提供核专业学历学位教育机会。
第二十三条 〔其他服务〕
应联盟成员要求，提供其他针对性、定制化服务。
Chapter VI: Intellectual Property Rights and Confidentiality第六章 知识产权与保密
Article 24 Intellectual Property Rights
The intellectual property rights held by individual members shall remain vested in the original owners and shall not be transferred as a result of their membership of the GNSI. Ownership of intellectual property arising from cooperative projects undertaken within the framework of the GNSI shall be determined through friendly consultation among the participating members.
Article 25 Confidentiality
Any information relating to a GNSI member obtained by another member during GNSI activities shall not be disclosed to any third party without the prior consent of the relevant member. The confidentiality obligations set out in this Article shall survive the withdrawal of any member from the GNSI.
第二十四条 〔知识产权〕
（一）联盟成员各自持有的知识产权仍归原权利人所有，不因加入本联盟而发生转移。 （二）联盟框架下合作项目产生的知识产权归属，由参与合作项目的成员友好协商决定。
第二十五条 〔保密〕
（一）联盟成员在联盟活动中获取的其他成员信息，未经当事成员允许，不得擅自向任何第三方披露。 （二）保密义务不因联盟成员退出联盟而终止。
Chapter VII Supplementary Provisions第七章 附则
Article 26 Entry into Force
This ToR shall enter into force upon its adoption by the Governing Board.
第二十六条 〔生效〕
本章程由理事会通过后生效。
